Welcome to ExpressFoodie. These Terms & Conditions govern the use of the platform by restaurant partners, cloud kitchens, food vendors and all registered hosts operating through ExpressFoodie services.
Welcome to the Express Foodie Restaurant Partner Platform.
These Restaurant Partner Terms & Conditions ("Terms") govern the relationship between EXPRESS FOODIE LLP ("Express Foodie", "we", "our" or "us") and every restaurant, food business, café, cloud kitchen, dining establishment or other authorized food service provider ("Restaurant Partner", "Restaurant", "Host", "you" or "your") that registers with or uses the Express Foodie Restaurant Partner Platform.
These Terms apply to your access to and use of the Express Foodie Restaurant Partner Mobile Application, Restaurant Partner Web Portal, Website and all related services made available by Express Foodie from time to time.
The Restaurant Partner Platform enables Restaurant Partners to manage restaurant operations through features that may include restaurant onboarding, account management, menu management, customer order management, table booking management (where available), payment settlement information, operational reports, customer communication tools, support services and other platform features introduced by Express Foodie.
Express Foodie operates as a technology platform that facilitates interactions between customers, Restaurant Partners and delivery partners. Unless expressly stated otherwise, Express Foodie does not prepare food, manufacture food products, operate restaurant kitchens or act as the seller of food items offered by Restaurant Partners.
Each Restaurant Partner remains solely responsible for its own business operations, including compliance with applicable food safety laws, licensing requirements, menu information, pricing, food preparation, hygiene standards, customer service, statutory obligations and all other responsibilities arising from the operation of its business.
By registering as a Restaurant Partner, completing the onboarding process, submitting business information, accessing your Restaurant Partner account or using any service provided through the Express Foodie Restaurant Partner Platform, you confirm that you have read, understood and agreed to these Terms & Conditions, together with the applicable Privacy Policy and other policies issued by EXPRESS FOODIE LLP from time to time.
If you do not agree with these Terms & Conditions, you must not register as a Restaurant Partner or access or use the Express Foodie Restaurant Partner Platform or any related services.
Any restaurant, café, cloud kitchen, food outlet, dining establishment or other food business that is legally permitted to operate under applicable laws may apply to become a Restaurant Partner on the Express Foodie Restaurant Partner Platform.
By applying for onboarding or using the Restaurant Partner Platform, you represent and warrant that:
- You are legally authorized to operate the restaurant or act on behalf of the restaurant.
- The information and documents submitted during onboarding are accurate, complete and not misleading.
- You have the necessary rights, permissions and authority to register the restaurant on the Express Foodie Platform.
- You will use the Restaurant Partner Platform only for lawful business purposes and in accordance with these Terms & Conditions and applicable laws.
- You will promptly update any material changes to your business information, where required.
Submission of an onboarding application does not guarantee approval. EXPRESS FOODIE LLP reserves the right to approve, reject, suspend or discontinue any Restaurant Partner application or account where reasonably necessary in accordance with applicable laws, operational requirements or platform policies.
2. Business Verification RequirementsRestaurant Partners may be required to submit business, financial or regulatory information during onboarding or at any time where reasonably necessary for verification, compliance or operational purposes.
Where applicable, Express Foodie may request documents or information relating to:
- Business ownership or authorized representative details.
- Restaurant identification and business information.
- Financial settlement information.
- Applicable business licences, registrations or regulatory documents.
- Other information reasonably required for onboarding, verification or compliance.
Restaurant Partners are responsible for ensuring that all submitted documents remain valid, accurate and up to date.
3. Eligibility to Use the PlatformRestaurant Partners must ensure that:
- Their Restaurant Partner account is used only by authorized persons.
- Platform access credentials are kept secure and confidential.
- The Restaurant Partner Platform is used only for legitimate business activities related to services provided through Express Foodie.
- They comply with all applicable laws, regulations, licences and business obligations relating to their restaurant operations.
Restaurant Partners must not use the Express Foodie Platform for any fraudulent, unlawful or unauthorized purpose.
4. Right to Review, Suspend or Refuse AccessEXPRESS FOODIE LLP reserves the right to review Restaurant Partner eligibility at any time.
Where reasonably necessary, Express Foodie may refuse onboarding, suspend, restrict or terminate access to the Restaurant Partner Platform if:
- False, inaccurate or misleading information is submitted.
- Required verification cannot be completed.
- Applicable laws, regulations or platform policies are violated.
- Continued access may create operational, legal, security or fraud-related risks.
- The Restaurant Partner breaches these Terms & Conditions or any other applicable Express Foodie policies or agreements.
Where reasonably practicable, Express Foodie may communicate such actions through officially provided communication channels.
To use the Express Foodie Restaurant Partner Platform, every Restaurant Partner must successfully complete the onboarding process prescribed by EXPRESS FOODIE LLP.
During onboarding, Restaurant Partners may be required to submit business, contact, financial, operational or regulatory information reasonably necessary for account creation, business verification, payment settlement and platform operations.
The information and documents requested during onboarding may vary depending on the nature of the restaurant, applicable laws, operational requirements or future platform features.
Submission of an onboarding application does not create any right to be listed on the Express Foodie Platform or guarantee approval by EXPRESS FOODIE LLP.
All onboarding applications are subject to review and verification by EXPRESS FOODIE LLP.
Express Foodie may verify the information, documents or other details submitted by the Restaurant Partner where reasonably necessary to:
- Confirm the identity of the Restaurant Partner or its authorized representative.
- Verify business information and operational details.
- Support regulatory and legal compliance.
- Prevent fraud, misuse or unauthorized use of the Platform.
- Protect the safety, reliability and integrity of the Express Foodie Platform.
Restaurant Partners agree to cooperate with reasonable verification requests made by Express Foodie during onboarding or while using the Platform.
Restaurant Partners are responsible for ensuring that all information, documents and other materials submitted during onboarding or at any later time are accurate, complete, current and lawfully provided.
If any material information changes after onboarding, the Restaurant Partner should update such information through the Restaurant Partner Platform or other officially provided communication channels, where applicable.
Providing false, misleading, forged, expired or unauthorized information may result in rejection of the onboarding application, suspension of services or other actions permitted under these Terms & Conditions and applicable laws.
Restaurant Partner accounts become eligible to use the Express Foodie Restaurant Partner Platform only after the onboarding and verification process has been completed and the account has been approved by EXPRESS FOODIE LLP.
Express Foodie reserves the right to approve, decline, suspend or revoke any onboarding application or Restaurant Partner account where reasonably necessary for legal, regulatory, operational, security or business reasons.
Where reasonably practicable, Express Foodie may communicate the status of onboarding or verification through officially provided communication channels.
To maintain the accuracy, security and reliability of the Express Foodie Platform, EXPRESS FOODIE LLP may request updated information or supporting documents from Restaurant Partners from time to time where reasonably necessary for:
- Regulatory compliance.
- Operational requirements.
- Account security.
- Financial verification.
- Platform integrity.
- Fraud prevention.
Restaurant Partners are responsible for providing updated information within a reasonable time where such information is lawfully requested.
To access the Express Foodie Restaurant Partner Platform, Restaurant Partners are required to register and maintain an active Restaurant Partner account.
During onboarding or account creation, Restaurant Partners may be required to provide information including:
- Mobile Number
- Restaurant Name
- Owner or Authorized Representative Details
- Business Information
- Other information reasonably required for onboarding, verification or platform operations.
Restaurant Partners are responsible for ensuring that all information provided remains accurate, complete and up to date.
Submission of account information does not guarantee approval of a Restaurant Partner account. Account activation is subject to successful onboarding, verification and approval by EXPRESS FOODIE LLP in accordance with applicable policies and operational requirements.
The Express Foodie Restaurant Partner Platform currently uses Mobile Number and One-Time Password (OTP) based authentication to verify Restaurant Partner accounts and provide secure access to platform services.
By providing a registered mobile number, the Restaurant Partner authorizes Express Foodie to send OTPs and other service-related communications for purposes including:
- Account Registration
- Login Authentication
- Account Verification
- Security Verification
- Account Recovery, where applicable
- Other legitimate platform-related purposes.
Restaurant Partners are responsible for ensuring that their registered mobile number remains valid, accessible and under their authorized control.
Restaurant Partners are responsible for maintaining the security of their Restaurant Partner account and registered mobile number.
Restaurant Partners must:
- Keep their account credentials and OTP confidential.
- Prevent unauthorized access to their account.
- Ensure that only authorized persons access and use the Restaurant Partner account.
- Promptly notify Express Foodie if they become aware of any unauthorized access, suspected compromise or security concern relating to their account.
EXPRESS FOODIE LLP may take reasonable measures, including temporarily restricting account access, where necessary to protect the security of the Restaurant Partner Platform or its users.
Restaurant Partner accounts are intended solely for the legitimate operation and management of the registered restaurant through the Express Foodie Restaurant Partner Platform.
Restaurant Partners must not:
- Share OTPs with unauthorized persons.
- Allow unauthorized access to the Restaurant Partner account.
- Create or use accounts by providing false or misleading information.
- Attempt to access another Restaurant Partner's account.
- Use the platform in a manner that compromises the security, integrity or proper functioning of the Express Foodie Platform.
Restaurant Partners remain responsible for activities carried out through their registered account unless otherwise determined under applicable law.
To maintain the security, reliability and integrity of the Express Foodie Restaurant Partner Platform, EXPRESS FOODIE LLP may review Restaurant Partner accounts from time to time.
Where reasonably necessary, Express Foodie may temporarily restrict, suspend or terminate access to a Restaurant Partner account where:
- Required verification cannot be completed.
- False, inaccurate or misleading information has been provided.
- Unauthorized or suspicious account activity is detected.
- Applicable laws, these Terms & Conditions or other Express Foodie policies are violated.
- Continued access may create operational, legal, compliance, fraud or security risks.
Where reasonably practicable, Express Foodie may communicate such actions through officially provided communication channels.
EXPRESS FOODIE LLP may introduce additional authentication, account security or verification methods in future versions of the Restaurant Partner Platform.
Any such features shall be governed by these Terms & Conditions and any applicable Express Foodie policies in effect at that time.
Restaurant Partners are responsible for operating their businesses in a lawful, professional and responsible manner while using the Express Foodie Restaurant Partner Platform.
Each Restaurant Partner shall ensure that all activities performed through the platform comply with these Terms & Conditions, applicable laws and all other applicable Express Foodie policies.
Restaurant Partners remain solely responsible for the operation and management of their restaurants.
2. Business InformationRestaurant Partners are responsible for ensuring that all business information provided to Express Foodie remains accurate, complete and up to date.
This includes, where applicable:
- Restaurant name
- Business address
- Contact information
- Operating hours
- Business documents
- Financial settlement information
- Other information submitted through the Restaurant Partner Platform
Any material changes should be updated through the officially provided procedures.
3. Compliance with Applicable LawsRestaurant Partners are solely responsible for complying with all applicable laws, regulations, licences, registrations and statutory obligations relating to the operation of their business.
Where applicable, Restaurant Partners are responsible for obtaining, maintaining and renewing all licences, permits or approvals required to lawfully operate their restaurant.
Express Foodie does not assume responsibility for a Restaurant Partner's legal or regulatory compliance.
4. Food Quality and HygieneRestaurant Partners are solely responsible for:
- Food preparation
- Food quality
- Ingredients used
- Portion accuracy
- Packaging
- Food safety
- Hygiene standards
- Compliance with applicable food safety requirements
Express Foodie does not prepare, manufacture, inspect or control food prepared by Restaurant Partners.
5. Menu InformationRestaurant Partners are responsible for maintaining accurate menu information available through the Express Foodie Platform.
Where applicable, Restaurant Partners should ensure that menu information, pricing, availability, descriptions and related content are accurate and kept reasonably up to date.
Requests for menu additions or modifications may be subject to Express Foodie's review or approval processes where applicable.
6. Restaurant OperationsRestaurant Partners are responsible for managing restaurant operations through the Restaurant Partner Platform, including responding to customer orders, managing available services, updating operational information and using platform features in accordance with applicable policies and operational requirements.
Restaurant Partners should use reasonable efforts to respond to operational requests in a timely manner.
Operational workflows may be governed by the Express Foodie Restaurant Partner Platform and related operational policies.
7. Customer InformationRestaurant Partners may receive limited customer information through the Restaurant Partner Platform solely for the purpose of providing services related to customer orders or other platform services.
Restaurant Partners shall:
- Use customer information only for legitimate operational purposes.
- Maintain the confidentiality of customer information.
- Not disclose, sell, copy, distribute or misuse customer information.
- Not use customer information for unauthorized marketing or any purpose unrelated to services provided through the Express Foodie Platform.
Restaurant Partners are responsible for maintaining the confidentiality and security of their Restaurant Partner account.
Restaurant Partners must take reasonable steps to prevent unauthorized access to their account and should promptly notify Express Foodie if they become aware of any suspected unauthorized access, misuse or security incident.
9. Responsible Use of the PlatformRestaurant Partners agree to use the Express Foodie Restaurant Partner Platform responsibly and in good faith.
Restaurant Partners must not:
- Submit false or misleading information.
- Misuse platform features.
- Attempt unauthorized access to Express Foodie's systems.
- Interfere with platform operations.
- Engage in fraudulent or unlawful activities.
- Violate applicable laws or these Terms & Conditions.
Where reasonably necessary, Restaurant Partners agree to cooperate with Express Foodie in connection with:
- Restaurant verification
- Customer support
- Complaint resolution
- Fraud prevention
- Regulatory compliance
- Security investigations
- Platform operations
Such cooperation shall be limited to information and assistance reasonably required for the relevant purpose.
The Express Foodie Restaurant Partner Platform enables eligible Restaurant Partners to manage menu information made available to customers through the Express Foodie Platform.
Restaurant Partners are responsible for ensuring that all menu information published through the platform is accurate, complete and complies with applicable laws and these Terms & Conditions.
Restaurant Partners are responsible for maintaining accurate and up-to-date information relating to menu items, including, where applicable:
- Item name
- Description
- Category
- Price
- Food type (Vegetarian, Non-Vegetarian or other applicable classification)
- Availability status
- Menu images (where applicable)
- Other information voluntarily provided by the Restaurant Partner
Restaurant Partners must ensure that customers are not misled by inaccurate, false or outdated menu information.
Restaurant Partners are responsible for ensuring that menu items displayed through the Express Foodie Platform are reasonably available for ordering.
Where a menu item is temporarily unavailable, Restaurant Partners should update its availability through the Restaurant Partner Platform, where such functionality is available.
Express Foodie does not guarantee the availability of any menu item displayed by a Restaurant Partner.
Restaurant Partners may edit eligible menu information through the Restaurant Partner Platform.
Certain additions, modifications or other menu-related changes may require review or approval by Express Foodie before becoming visible on the platform, where applicable.
Express Foodie reserves the right to review, restrict or reject menu content that violates applicable laws, platform policies or these Terms & Conditions.
Restaurant Partners are responsible for ensuring that restaurant logos, cover images, gallery images and menu images uploaded through the platform:
- Accurately represent the restaurant and its offerings.
- Do not infringe the intellectual property or other legal rights of any third party.
- Do not contain unlawful, misleading, offensive or prohibited content.
- Comply with applicable laws and Express Foodie policies.
Express Foodie may remove, restrict or reject images that do not comply with these requirements.
Restaurant Partners remain solely responsible for all menu information, pricing, descriptions, images and other content submitted through the Restaurant Partner Platform.
Express Foodie acts only as a technology platform displaying information provided or approved through the Restaurant Partner Platform and is not responsible for the accuracy or legality of such content supplied by Restaurant Partners.
When a customer places an order through the Express Foodie Platform, the order may be made available to the selected Restaurant Partner through the Restaurant Partner Platform.
Restaurant Partners are responsible for monitoring incoming orders and responding through the Restaurant Partner Platform within the operational timelines applicable to the platform.
2. Order AcceptanceRestaurant Partners may accept or decline eligible orders made available through the Restaurant Partner Platform.
Where an order is not accepted within the applicable operational time maintained by the platform, the order may automatically expire, be cancelled or otherwise be processed in accordance with Express Foodie's operational policies.
Availability of orders remains subject to operational conditions and platform functionality.
3. Order PreparationFollowing acceptance of an order, Restaurant Partners are responsible for preparing the ordered items in accordance with applicable food safety laws, hygiene requirements and reasonable operational standards.
Where the Restaurant Partner Platform provides preparation time selection or related operational tools, Restaurant Partners are responsible for providing information that reasonably reflects expected preparation.
4. Order Ready for PickupWhere applicable, Restaurant Partners should indicate through the Restaurant Partner Platform that an order is ready for pickup after preparation has been completed.
Operational workflow relating to pickup may depend upon platform functionality and applicable operational policies.
5. Order CollectionWhere delivery services are provided, authorized Delivery Partners may collect orders in accordance with the operational workflow made available through the Express Foodie Platform.
Restaurant Partners should hand over orders only after completing the applicable verification process provided by the platform.
6. Customer CommunicationRestaurant Partners shall use customer information made available through the Restaurant Partner Platform only for legitimate communication relating to active orders or services provided through Express Foodie.
Customer information must not be used for unauthorized marketing, unrelated communication or any purpose not connected with the fulfilment of services through the Express Foodie Platform.
7. Restaurant ResponsibilitiesRestaurant Partners are responsible for:
- Preparing accepted orders with reasonable care.
- Maintaining food quality and hygiene.
- Using fresh and lawful ingredients.
- Providing accurate order fulfilment.
- Following applicable food safety requirements.
- Complying with operational procedures made available through the Restaurant Partner Platform.
Certain operational activities, including order assignment, delivery coordination, pickup verification, order status updates and related fulfilment processes, may be managed through automated systems or authorized operational personnel of Express Foodie.
Such operational processes may be modified from time to time in accordance with platform improvements, operational requirements or business needs without requiring amendment to these Terms & Conditions.
9. Service InterruptionsRestaurant Partners acknowledge that order processing and fulfilment may occasionally be affected by circumstances including:
- Technical issues.
- Internet or network failures.
- Restaurant operational issues.
- Delivery partner availability.
- Force majeure events.
- Other circumstances beyond the reasonable control of Express Foodie.
Express Foodie will make reasonable efforts to maintain the availability of its platform but does not guarantee uninterrupted operation.
Table booking services may be made available to eligible Restaurant Partners through the Express Foodie Restaurant Partner Platform.
The availability of table booking features may vary depending on restaurant category, operational requirements, platform configuration or other business considerations determined by Express Foodie.
2. Booking RequestsWhere table booking services are enabled, customers may submit booking requests through the Express Foodie Platform.
Restaurant Partners are responsible for reviewing booking requests and taking appropriate action through the Restaurant Partner Platform in accordance with the operational workflow made available by Express Foodie.
If no action is taken within the applicable operational time configured by the platform, the booking request may automatically expire or otherwise be handled by the system in accordance with the applicable operational process.
3. Acceptance of BookingsOnce a booking request is accepted, the Restaurant Partner is responsible for managing the booking and making reasonable efforts to provide the reserved dining service, subject to operational availability and circumstances beyond reasonable control.
Restaurant Partners are responsible for maintaining accurate table availability and updating booking information where required through the Restaurant Partner Platform.
4. Restaurant ResponsibilitiesRestaurant Partners are responsible for:
- Managing accepted table bookings.
- Maintaining reasonable accuracy of table availability.
- Providing dining services in accordance with applicable laws and business practices.
- Updating booking-related information where required through the Restaurant Partner Platform.
- Managing customer billing and other restaurant services provided after customer arrival.
Restaurant Partners remain solely responsible for services provided at their premises after the customer arrives at the restaurant.
5. Customer Payments at the RestaurantWhere supported by the Express Foodie Platform, Restaurant Partners may update eligible billing information through the Restaurant Partner Platform to facilitate payment by the customer using available payment methods.
Restaurant Partners are responsible for ensuring that billing information entered through the platform is accurate and reflects the actual goods or services provided.
6. Offers and PromotionsWhere applicable, eligible promotional offers or discounts may be displayed through the Restaurant Partner Platform.
The applicability of any offer, promotional benefit, sponsorship or financial adjustment shall be determined in accordance with the applicable promotional campaign, Restaurant Partner Agreement or other Express Foodie business policies.
7. Operational ChangesExpress Foodie may modify, improve, suspend or discontinue table booking features, operational workflows or related platform functionality from time to time in accordance with business or operational requirements.
Express Foodie facilitates settlement-related services for eligible Restaurant Partners in accordance with the applicable Restaurant Partner Agreement, Settlement Policy and other applicable business policies.
The Restaurant Partner remains responsible for providing accurate financial information necessary for settlement processing.
2. Financial InformationRestaurant Partners are responsible for ensuring that all financial and settlement information submitted to Express Foodie remains accurate, complete and up to date.
Where necessary, Express Foodie may require verification before processing or updating settlement-related information.
3. Settlement of PaymentsEligible settlement amounts shall be processed in accordance with the applicable settlement cycle, operational requirements and the Restaurant Partner Agreement.
Settlement timelines may vary depending on operational requirements, banking processes, payment service providers, holidays or other circumstances beyond the reasonable control of Express Foodie.
4. Platform Commission and Business ChargesRestaurant Partners acknowledge that Express Foodie may apply platform commissions, payment gateway charges, taxes or other applicable business charges in accordance with the Restaurant Partner Agreement, onboarding terms, settlement policy or other applicable business arrangements.
Details relating to applicable commercial terms are governed by the relevant business agreements and do not form part of these Terms & Conditions.
5. Taxes and Regulatory ObligationsRestaurant Partners remain solely responsible for complying with all applicable taxation, licensing, statutory and regulatory obligations relating to their business operations.
Where required by applicable law, Express Foodie may process or retain relevant financial information for accounting, taxation, audit, fraud prevention, dispute resolution or legal compliance purposes.
6. Settlement ReportsWhere available, Restaurant Partners may access settlement records, earnings information and operational reports generated through the Restaurant Partner Platform.
The availability, format and content of such reports may change from time to time as the platform evolves.
7. Disputed SettlementsIf a Restaurant Partner believes that a settlement or financial record contains an error, the Restaurant Partner should promptly contact Express Foodie through officially provided support channels.
Express Foodie may review the matter using available operational records and take appropriate action where reasonably necessary.
8. Modification of Commercial PoliciesExpress Foodie reserves the right to modify commercial policies, settlement processes, operational procedures or applicable business arrangements from time to time.
Where appropriate, such changes may be communicated through the Restaurant Partner Platform or other official communication channels.
Customers may submit ratings, reviews and feedback regarding their experience with a Restaurant Partner through the Express Foodie Platform.
Ratings and reviews are intended to help improve service quality and assist customers in making informed decisions.
Restaurant Partners acknowledge that customer ratings and reviews may become visible on the Express Foodie Platform in accordance with platform features and operational requirements.
Restaurant Partners must not directly or indirectly:
- Manipulate or artificially influence ratings or reviews.
- Offer incentives, rewards or benefits in exchange for positive ratings or reviews unless expressly permitted by Express Foodie.
- Submit fake, misleading or fraudulent reviews.
- Encourage any person to post false or deceptive feedback.
- Use any unauthorized method to influence the rating system.
Express Foodie reserves the right to investigate suspected misuse of the ratings and reviews system.
Express Foodie may review, restrict, remove or decline to publish any rating, review or feedback that reasonably appears to:
- Be false, misleading or fraudulent.
- Contain abusive, offensive or discriminatory content.
- Include unlawful, defamatory or threatening statements.
- Contain spam, promotional material or irrelevant information.
- Violate applicable laws, these Terms & Conditions or other Express Foodie policies.
Express Foodie is not obligated to remove or modify reviews solely because a Restaurant Partner disagrees with their content.
Where the Restaurant Partner Platform provides such functionality, Restaurant Partners may respond to customer reviews in a professional, respectful and lawful manner.
Restaurant Partners are solely responsible for the content of any responses submitted through the platform.
Express Foodie reserves the right to remove responses that violate these Terms or applicable laws.
Ratings, reviews and customer feedback may be used by Express Foodie for legitimate business purposes, including:
- Service quality improvement.
- Restaurant performance analysis.
- Customer experience enhancement.
- Fraud prevention.
- Platform analytics.
- Operational decision-making.
Any such use will be carried out in accordance with applicable laws and the Express Foodie Privacy Policy.
EXPRESS FOODIE LLP may review any Restaurant Partner account where reasonably necessary to protect the security, integrity, reliability or lawful operation of the Express Foodie Platform.
2. Suspension or Restriction of ServicesExpress Foodie may temporarily suspend, restrict or limit access to all or part of the Restaurant Partner Platform where reasonably necessary, including where:
- Required verification cannot be completed.
- False, inaccurate or misleading information has been provided.
- Applicable laws, regulations or licensing requirements appear to have been violated.
- Fraudulent, suspicious or unauthorized activities are reasonably suspected.
- Continued access may create security, operational or legal risks.
- The Restaurant Partner breaches these Terms & Conditions, applicable policies or other agreements with Express Foodie.
Where reasonably practicable, Express Foodie may notify the Restaurant Partner through officially provided communication channels.
3. Termination of Restaurant Partner AccountExpress Foodie may terminate or permanently deactivate a Restaurant Partner account where reasonably necessary, including where:
- Serious or repeated violations of applicable laws or these Terms & Conditions occur.
- Fraudulent, deceptive or unlawful activities are established.
- Required business licences or regulatory approvals are no longer valid where applicable.
- The Restaurant Partner repeatedly misuses the platform or its services.
- Continued association with the Restaurant Partner may create significant legal, operational, financial or reputational risk for Express Foodie or other platform users.
Termination under this section shall not affect any rights, obligations or liabilities that arose before the effective date of termination.
4. Voluntary Termination by Restaurant PartnerA Restaurant Partner may request closure or deactivation of its account through officially provided support channels.
Closure or deactivation of an account does not automatically result in:
- Immediate deletion of business records.
- Deletion of settlement records.
- Deletion of financial records.
- Deletion of information required for legal, regulatory, taxation, audit, fraud prevention or dispute resolution purposes.
Certain information may continue to be retained in accordance with applicable laws, operational requirements and the Express Foodie Privacy Policy.
5. Effect of Suspension or TerminationFollowing suspension, restriction or termination of a Restaurant Partner account, Express Foodie may, where applicable:
- Restrict access to the Restaurant Partner Platform.
- Disable restaurant listing visibility.
- Restrict access to operational features.
- Retain information as permitted or required by applicable laws.
- Take other reasonable operational actions necessary to protect the platform and its users.
Any outstanding financial settlements, obligations or legal responsibilities shall continue to be governed by the applicable agreements and policies.
6. Survival of ObligationsAny provisions of these Terms that by their nature are intended to survive suspension, deactivation or termination, including provisions relating to confidentiality, payment obligations, intellectual property, limitation of liability, dispute resolution and applicable legal compliance, shall continue to remain effective to the extent permitted by applicable law.
Restaurant Partners shall use the Express Foodie Restaurant Partner Platform only for lawful business purposes and in accordance with these Terms & Conditions, applicable laws and other applicable Express Foodie policies.
Restaurant Partners shall not use the Platform in any manner that may harm the interests, security, reputation or lawful operations of Express Foodie, its customers, delivery partners or other Restaurant Partners.
2. Prohibited ActivitiesRestaurant Partners must not, directly or indirectly:
- Submit false, inaccurate, misleading or forged information or documents during onboarding, verification or while using the Platform.
- Operate or attempt to operate the Platform using another person's identity or without proper authorization.
- Misrepresent the ownership, identity or legal status of the restaurant.
- Upload unlawful, misleading, offensive, defamatory, obscene or infringing content through the Platform.
- List food items, prices, descriptions or business information that are intentionally false or misleading.
- Attempt to interfere with, disrupt, damage, reverse engineer, bypass or gain unauthorized access to the Express Foodie Platform, systems, servers or security mechanisms.
- Introduce viruses, malicious software, automated scripts or other harmful technologies into the Platform.
- Misuse customer information, delivery partner information or any information obtained through the Platform for purposes unrelated to Express Foodie services.
- Use the Platform for fraudulent, deceptive, illegal or unauthorized activities.
- Abuse, threaten, harass or engage in inappropriate conduct towards customers, delivery partners, Express Foodie personnel or other Restaurant Partners.
- Circumvent or attempt to circumvent any operational, security or verification process implemented by Express Foodie.
- Engage in any activity that may adversely affect the stability, security, reliability or reputation of the Express Foodie Platform.
Restaurant Partners remain solely responsible for ensuring that their business operations, food preparation, food safety practices, licences, statutory registrations and regulatory compliance are maintained in accordance with applicable laws.
Nothing contained in these Terms transfers such legal responsibilities to Express Foodie.
4. Platform EnforcementWhere Express Foodie reasonably believes that a Restaurant Partner has violated these Terms, applicable laws or any applicable Express Foodie policy, Express Foodie may, where appropriate:
- Request additional information or verification.
- Issue warnings or require corrective action.
- Restrict or suspend access to certain Platform features.
- Suspend or terminate the Restaurant Partner account.
- Take any other action reasonably necessary to protect the Platform, its users or its legitimate business interests.
Such actions may be taken without prejudice to any other rights or remedies available under applicable law.
All intellectual property rights relating to the Express Foodie Platform, including its software, technology, user interface, designs, layouts, graphics, trademarks, logos, trade names, branding, databases, text, documentation and other proprietary materials are owned by or lawfully licensed to EXPRESS FOODIE LLP unless otherwise stated.
These Terms do not transfer any ownership or intellectual property rights to any Restaurant Partner.
Restaurant Partners are granted only a limited, non-exclusive, non-transferable and revocable right to use the Restaurant Partner Platform solely for the purpose of accessing services provided by Express Foodie in accordance with these Terms.
Restaurant Partners shall not, without prior written permission from EXPRESS FOODIE LLP:
- Copy, reproduce or distribute any part of the Platform.
- Modify, adapt or create derivative works from the Platform.
- Reverse engineer, decompile or attempt to discover the source code of the Platform except where expressly permitted by applicable law.
- Use Express Foodie trademarks, logos, branding or other intellectual property in a manner that may create confusion or imply unauthorized association.
Restaurant Partners retain ownership of the business information, menu information, logos, photographs, trademarks and other content submitted by them.
By submitting such content through the Restaurant Partner Platform, the Restaurant Partner grants EXPRESS FOODIE LLP a non-exclusive, royalty-free, revocable (subject to operational and legal requirements), worldwide licence to use, reproduce, display, publish, process and distribute such content solely for operating, promoting and providing services through the Express Foodie Platform.
Restaurant Partners represent that they have all necessary rights and permissions to upload such content and that such content does not infringe the rights of any third party.
3. Limitation of LiabilityExpress Foodie operates as a technology platform that facilitates interactions between customers, Restaurant Partners and delivery partners.
Except to the extent required under applicable law, EXPRESS FOODIE LLP is not responsible for:
- The preparation, quality, quantity, safety or legality of food prepared by Restaurant Partners.
- Compliance by Restaurant Partners with applicable food safety, licensing or regulatory requirements.
- Business decisions, pricing, menu information or operational practices adopted by Restaurant Partners.
- Losses arising from events beyond the reasonable control of Express Foodie.
- Interruptions, delays or temporary unavailability of Platform services caused by technical, operational or third-party factors.
To the maximum extent permitted by applicable law, EXPRESS FOODIE LLP shall not be liable for any indirect, incidental, special, consequential or punitive damages arising out of or relating to the Restaurant Partner's use of the Platform.
Nothing in these Terms limits any liability that cannot be excluded or restricted under applicable law.
4. Reservation of RightsAll rights not expressly granted to Restaurant Partners under these Terms are reserved by EXPRESS FOODIE LLP.
EXPRESS FOODIE LLP may update, improve, modify, suspend or discontinue any feature, functionality or service of the Restaurant Partner Platform in accordance with applicable laws and operational requirements.
These Terms & Conditions, together with the Restaurant Partner Privacy Policy and any other applicable Express Foodie policies or agreements, shall be governed by and interpreted in accordance with the laws of India.
Any dispute, claim or legal proceeding arising out of or relating to these Terms & Conditions, the Restaurant Partner Platform or the relationship between EXPRESS FOODIE LLP and a Restaurant Partner shall, to the extent permitted under applicable law, be subject to the exclusive jurisdiction of the competent courts located in Jaipur, Rajasthan, India.
Before initiating formal legal proceedings, the Restaurant Partner agrees to make reasonable efforts to resolve the matter through discussions or officially provided support channels where appropriate. Nothing in this section limits the rights of either party to seek any remedy available under applicable law.
EXPRESS FOODIE LLP shall not be liable for any delay, interruption, suspension, reduced performance or failure to perform any obligation under these Terms & Conditions where such delay or failure results from events or circumstances beyond its reasonable control.
Such events may include, without limitation:
- Natural disasters, including floods, earthquakes, storms or other severe weather events.
- Fire, explosion or other major accidents.
- Epidemics, pandemics or public health emergencies.
- Government actions, restrictions, regulations, orders or directives.
- War, terrorism, civil unrest, riots or public disturbances.
- Internet, telecommunications, cloud infrastructure or power failures.
- Cybersecurity incidents, malicious attacks or other technology-related disruptions that are beyond reasonable control.
- Labour disputes, strikes or transportation disruptions.
- Failures or interruptions affecting third-party service providers that are necessary for operating the Express Foodie Platform.
- Any other event or circumstance that could not reasonably be anticipated or prevented despite reasonable care.
During the continuation of any Force Majeure event, EXPRESS FOODIE LLP may suspend, modify, delay or limit the affected services to the extent reasonably necessary.
EXPRESS FOODIE LLP will make reasonable efforts to restore affected services as soon as reasonably practicable after the Force Majeure event has ended. However, no provision of these Terms shall be interpreted as creating liability for delays or failures directly resulting from such events.
These Terms & Conditions, together with the Express Foodie Restaurant Partner Privacy Policy, Restaurant Partner Agreement (where applicable), Settlement Policy, Cancellation and Refund Policy, and any other applicable policies, guidelines or operational requirements published or communicated by EXPRESS FOODIE LLP from time to time, constitute the complete understanding and agreement between EXPRESS FOODIE LLP and the Restaurant Partner regarding the use of the Express Foodie Restaurant Partner Platform.
These Terms supersede all prior discussions, communications, representations, understandings or agreements relating to the Restaurant Partner Platform, whether written or oral, to the extent permitted by applicable law.
No waiver, amendment or modification of these Terms shall be effective unless made or authorized by EXPRESS FOODIE LLP through officially recognized communication channels or updated platform policies, where applicable.
2. SeverabilityIf any provision of these Terms & Conditions is held to be invalid, illegal or unenforceable by a court or other competent authority under applicable law, such provision shall, to the extent necessary, be deemed modified or severed without affecting the validity, legality or enforceability of the remaining provisions.
The remaining provisions of these Terms shall continue to remain in full force and effect to the maximum extent permitted by applicable law.
3. AmendmentsEXPRESS FOODIE LLP may update, modify or revise these Terms & Conditions from time to time to reflect changes in applicable laws, regulatory requirements, platform features, operational processes, business practices or security requirements.
Where reasonably appropriate, material changes may be communicated through the Restaurant Partner Mobile Application, Restaurant Partner Portal, official website, email, notifications or other officially recognized communication channels.
Continued access to or use of the Express Foodie Restaurant Partner Platform after such updates become effective constitutes acceptance of the revised Terms & Conditions.
If a Restaurant Partner does not agree with any revised Terms & Conditions, the Restaurant Partner should discontinue the use of the Express Foodie Restaurant Partner Platform and may request account deactivation through officially provided communication channels.
